Corporate Finance
Course Description:
This course is a natural sequel to the one semester Business Organizations class. The goal of the course is to provide you the tools you will need as a lawyer to advise clients as they make fundamental decisions about their businesses. The course will be most useful for students who wish to represent both startups and large public companies either at law firms or in-house. You will learn how to value a business, how to analyze the financial structure of a business, how the financial markets work and how to discover and apply the appropriate legal standards to those issues.
Class Notes:
Some background in accounting, business or finance is helpful but not required. If you are in the JD/MBA program, note that this is not the same as the Corporate Finance course that the Business School offers. It is complementary to that course. Pre-requisite: Business Organizations (248).
